Venue Rental Terms & Conditions

These Venue Rental Terms and Conditions are the main terms and conditions that apply to all bookings and use of the Er Yuan venue. They work together with any specific details in your booking confirmation.

By confirming a booking, you agree to these Terms and Conditions on behalf of yourself and all attendees in your group.

In these Terms, “we” and “us” refer to Er Yuan, and “you” refers to the person or organisation making the booking.

1. Booking, membership and payment

Bookings may only be made by individuals who are 18 years of age or older. By confirming a booking, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement under Singapore law. If a booking is made by or on behalf of an organisation, the individual making the booking represents that they are authorised to do so on behalf of that organisation.

1.1 Rates and optional membership

Rates for venue rental and optional membership, including any member, non-member, block, extension or other pricing, will be set out in your quote, booking form, invoice or booking confirmation. All rates are quoted in Singapore dollars (SGD) and do not include GST, as Er Yuan is not a GST-registered business. Should Er Yuan’s GST registration status change in the future, we will notify you and update these Terms accordingly.

1.2 How bookings are confirmed

A booking is only confirmed when we send you a written confirmation, for example by email, after you have accepted our quote and made full payment on the rental and security deposit by the stated due date. Until then, requested dates and times remain provisional and may be released to other clients.

1.3 Deposits and payment deadlines

We may require either full payment or a deposit by a specific date in order to secure your booking. If payment is not received by the specified due date, we may treat the booking as cancelled and may offer the slot to other clients.

1.4 Security deposit

Where a security deposit is required, the amount will be stated in your booking confirmation. The security deposit must be paid in full by the due date in order for the booking to be confirmed.

1.4.1 Return of security deposit

Subject to the deductions set out in Clause 1.4.2, the security deposit will be returned to you within ten (10) business days of the end of your booking, via the same payment method used to make the original payment, or by such other method as we may agree with you in writing.

1.4.2 Deductions from security deposit

We reserve the right to deduct from the security deposit any amounts owed to us at the end of your booking, including but not limited to:

  • costs of cleaning the venue where it has not been returned in a clean and usable condition;
  • costs of repairing or replacing damaged fixtures, furniture, equipment or keys;
  • costs of replacing missing items;
  • late handover fees;
  • any additional rental hours consumed beyond the booked period; and
  • any other amounts properly chargeable to you under these Terms.

We will provide you with a written statement of deductions made. If the deposit is insufficient to cover all amounts owed, you remain liable for the balance.

1.5 Payment methods

We currently accept local payments via PayNow. Payment instructions, including the PayNow details, will be provided with your invoice.

1.6 Invoices and receipts

Invoices will be issued for confirmed bookings, and receipts will be provided for payments received. Please keep these records for your own accounting purposes.

2. Use of space, setup and teardown

2.1 Booking time includes setup and teardown

Your booked time slot includes your own setup and teardown time. Please choose a booking window that allows you to arrive, set up, run your event, pack up, clean up, and return the space to Er Yuan in its original and clean state before your end time.

2.2 Standard setup and additional requirements

Standard setup for your chosen room type is included in the rental. Additional requirements will incur additional charges, which will be quoted separately upon request.

2.3 Permitted use

The venue is designed for small, intentional events where people need a calm space to gather, listen, share, learn, or reflect. Permitted uses include workshops, masterclasses, sharing circles, coaching or therapy-related sessions, private talks, small team gatherings, and similar community or professional experiences.

2.3.1 Prohibited uses — legal

The following uses are strictly prohibited and may result in immediate termination of your booking without refund, and may be reported to the relevant authorities:

  • any activity that is illegal, unlawful, or contrary to any applicable law or regulation in Singapore;
  • any activity that constitutes a public nuisance, criminal offence, or breach of licensing conditions; and
  • any activity that facilitates or promotes harm to persons, including activities that are unsafe, dangerous, or in breach of fire safety requirements.

2.3.2 Operationally prohibited uses

The following uses are also not permitted, as they are incompatible with the nature and condition of the space:

  • activities that consume excessive utilities, such as cryptocurrency mining or heavy manufacturing;
  • smoking or vaping of any kind, in accordance with Singapore’s Smoking (Prohibition in Certain Places) Act and any applicable building rules;
  • activities involving open flames, fire, or any naked heat source;
  • activities that produce strong odours, smoke, or fumes;
  • activities that create excessive noise beyond what is reasonable for the building and surrounding occupants;
  • cooking, baking, grilling, or food preparation (Exception: light refreshments are permitted — see Clause 2.4).

2.4 Food, drink and alcohol

Light refreshments are generally acceptable, provided they do not damage the space or disturb other occupants. If you intend to serve alcohol, bring in catering, or conduct any activity that requires permits or licences, you are responsible for obtaining all necessary approvals and ensuring compliance with relevant laws and building rules.

3. Access, keys and handover

3.1 Key collection and return

You are responsible for picking up and returning the venue key from and to the designated key safe before and after your session, following the instructions provided in your booking confirmation.

3.2 Late handover

You are responsible for returning the venue key and vacating the premises by your booked end time. There is no grace period. If you return the key late or fail to vacate the premises by your booked end time, a late handover fee will be charged at the prevailing hourly rental rate for the space. Late handover fees are charged per full hour or part thereof — any portion of an hour is rounded up to the nearest full hour. Any further losses arising from disruption to subsequent bookings or the need to re-secure the premises will also be billed to you at our discretion.

3.3 Lost or damaged keys

If a key is lost, damaged or not returned, all reasonable costs of replacement, including any locksmith fees, replacement of locks and keys, loss of rental hours, time to manage work, and transport will be billed to you.

4. Cleaning, damages and missing items

4.1 Cleaning and condition of the space

You agree to return the venue to Er Yuan in a clean, usable, and rentable condition at the end of your booking. This includes disposing of rubbish appropriately, wiping up spills and restoring furniture to the agreed layout. If the venue is returned in a condition that is unfit for use or immediate rental to the next client, we will arrange cleaning services and additional rental hours, and bill the associated costs to you.

4.2 Damages

You are responsible for any damage to the venue, fixtures, furniture, equipment or keys that occurs during your booking, whether caused by you or your attendees. All reasonable costs of rectification, repair or replacement, including reasonable time to manage works and any loss of rental hours, will be billed to you.

4.3 Missing items

If any fixtures, furniture, equipment or keys are missing at the end of your booking, all reasonable replacement costs, including reasonable time to manage replacement and any loss of rental hours, will be billed to you.

5. Extensions, changes and cancellations

5.1 Extensions

If the venue is available, booking extensions may be arranged at the prevailing hourly or extension rate. Extensions are subject to our confirmation and must not affect or delay subsequent bookings.

5.2 Changes to booking

If you need to change your booking, please notify us in writing as early as possible. Changes are subject to availability and may be treated as a partial or full cancellation if they materially affect the booking.

5.3 Cancellations and postponements

If you wish to cancel or postpone your booking, you must notify us in writing as soon as possible.

5.3.1 Cancellation policy

The following default cancellation policy applies unless different terms are expressly stated in your booking confirmation:

  • More than 14 calendar days before the booking date: full refund of the rental fee paid, less an administrative fee (as stated in your booking confirmation).
  • 7 to 14 calendar days before the booking date: 50% of the rental fee paid is refundable.
  • Less than 7 calendar days before the booking date: no refund is payable, as the time is unlikely to be rebooked at short notice.

The security deposit is refundable separately in accordance with Clause 1.4.1, subject to any applicable deductions.

5.3.2 Postponements

If you wish to postpone your booking to a new date, we will treat the request in the same way as a cancellation and rebook, subject to availability and these Terms. No postponement is guaranteed until confirmed by us in writing.

5.4 Refunds and credits

Where refunds or credits are offered, they will be processed in line with the terms set out in your booking confirmation. Any applicable processing or administrative fees will be clearly stated.

6. Client property, vendors and filming

6.1 Client property and storage

You are responsible for all personal property, materials, equipment and valuables that you or your attendees bring into the venue. We are not responsible for any loss, theft or damage to such items. If items are left behind after your booking, we will make reasonable efforts to contact you using the details provided at the time of booking. Items that are not collected within seven (7) calendar days of the end of your booking will be considered abandoned and may be disposed of, donated, or otherwise dealt with at our discretion, without further notice and without liability to you. Any costs incurred in storing, disposing of, or managing unclaimed items may be charged to you.

6.2 Third-party vendors

If you engage third-party vendors, including caterers, photographers or facilitators, they remain your contractors and your responsibility. You are responsible for ensuring they comply with these Terms, building rules and applicable laws.

6.3 Filming and content creation

If you intend to use the venue for filming, photography or content creation beyond your own internal documentation, please let us know at the time of booking. We reserve the right to approve or decline such uses, particularly where they may affect privacy, building rules or the intended use of the space.

6.4 Privacy of other occupants and common areas

You must not photograph, film, record, or otherwise capture images or audio of other occupants of the building, or of persons in common areas or shared spaces, without their prior explicit and informed consent. This obligation applies to you and all your attendees and vendors. Where your event involves filming or recording, you are responsible for ensuring that the activity does not extend beyond your booked space without our written approval.

If we receive a complaint regarding unauthorised recording of third parties, we reserve the right to immediately terminate your use of the venue for that session without refund.

7. Behaviour, safety and compliance

7.1 Behaviour and respect for the space

You are responsible for the behaviour and conduct of your attendees during the booking. Please ensure that noise levels, movement and activities are considerate of other occupants in the building and neighbours.

7.2 Compliance with law and building rules

You are responsible for ensuring your event complies with all applicable laws and regulations, and with any building or management rules that we notify you of. If requested, you agree to follow reasonable instructions given by us regarding safety or appropriate use of the space.

7.3 Children and vulnerable persons

If your event involves children or vulnerable persons, you are responsible for providing appropriate supervision and ensuring that any safeguarding or consent requirements under applicable law are met.

7.4 Insurance

We do not provide insurance coverage for renters, your attendees, staff, external partners and third-party vendors, or your and their property. You are responsible for assessing your own insurance needs in connection with your use of the venue. We strongly recommend that you hold adequate public liability insurance covering your event and all attendees. Where your event involves professional services, commercial activity, or engagement of third-party vendors, we may require you to provide evidence of appropriate insurance coverage prior to confirming your booking.

7.5 Work passes, permits, and eligibility to work or present in Singapore

If your event involves any person — including speakers, presenters, trainers, coaches, facilitators, performers, or paid staff — who will be remunerated for their participation or who are performing an activity that constitutes work under Singapore immigration and employment law, you are solely responsible for ensuring that each such person holds the appropriate authorisation to do so.

7.5.1 Foreign nationals

In particular, if any speaker, presenter, trainer, facilitator, or other participant at your event is a foreign national (i.e. not a Singapore Citizen or Permanent Resident), you must ensure, before the event takes place, that:

  • the foreign national holds a valid Employment Pass, S Pass, Work Permit, Personalised Employment Pass, or other applicable work pass issued by the Ministry of Manpower (MOM); or
  • the foreign national holds a valid Miscellaneous Work Pass or Short-Term Visit Pass with work authorisation, where applicable to the nature of the engagement; or
  • the activity is expressly exempt from work pass requirements under the Employment of Foreign Manpower Act (EFMA) and the MOM’s prevailing guidelines (for example, certain bona fide public speaking engagements, conferences, or permitted short-term activities listed on the MOM website).

7.5.2 Your responsibility

Er Yuan does not verify, and is not responsible for, the immigration or employment status of any person participating in your event. You agree to indemnify Er Yuan against any claim, fine, penalty, or liability that arises from any breach of Singapore immigration or employment law in connection with your event, including any enforcement action by the Ministry of Manpower (MOM), the Immigration and Checkpoints Authority (ICA), or any other relevant authority.

7.5.3 Event permits and licences

If your event requires any licence, permit, or approval under Singapore law — including but not limited to public entertainment licences, food establishment licences, alcohol licences, or any other regulatory approval — you are solely responsible for obtaining these prior to the event. You must provide evidence of any required approvals upon our request. We reserve the right to decline or terminate a booking where we reasonably believe that required permits or licences have not been obtained.

8. Force majeure and events beyond our control

8.1 Force majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay is due to events beyond our reasonable control, including but not limited to building issues, utility failures, government restrictions, public health measures, extreme weather, or other force majeure events.

8.2 Rescheduling or cancellation by us

If a force majeure event or other serious issue means the venue cannot be used as booked, we will inform you as soon as reasonably possible and, where practical, offer you the choice of rescheduling to another available time or receiving a refund of any amounts paid for the affected booking. Beyond such rescheduling or refund, we will not be liable for additional losses arising from the cancellation.

9. Liability and limitation

9.1 General liability

We will take reasonable care to provide a safe and usable environment for your booking. However, to the maximum extent permitted by Singapore law, we are not liable for any indirect or consequential loss, or for loss of profit, business or opportunity, arising from your use of the venue.

9.2 Cap on liability

To the maximum extent permitted by Singapore law, our total liability in connection with any booking, whether in contract, tort (including negligence) or otherwise, is limited to the total amount paid by you for that booking, except where such limitation is not allowed by law.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

9.3 Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Er Yuan, its directors, officers, employees, agents, and representatives from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the venue;
  • the conduct, acts, or omissions of your attendees or any third-party vendors engaged by you;
  • any breach by you of these Terms or any applicable law or regulation; or
  • any injury to persons or damage to property occurring during your booking that is caused or contributed to by you or your attendees.

This indemnity does not apply to the extent that any claim arises from our own negligence or wilful misconduct.

10. Changes to these Terms

We may make updates to these Venue Rental Terms and Conditions from time to time. The version that applies to your booking will be the version in force at the time your booking is confirmed, unless we notify you otherwise and you agree to the updated terms.

11. Governing law and jurisdiction

11.1 Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of Singapore.

11.2 Dispute resolution — good faith

If a dispute arises out of or in connection with these Terms, or your use of the venue, both parties agree to first attempt to resolve the matter in good faith through direct communication. Either party may request a meeting or written exchange to discuss the dispute.

11.3 Mediation

If the dispute cannot be resolved through direct communication within 21 days of it first being raised in writing (or such longer period as both parties may agree), either party may refer the matter to mediation administered by the Singapore Mediation Centre (SMC) or such other mediation service as both parties agree. The cost of mediation will be shared equally unless the mediator directs otherwise.

11.4 Small Claims Tribunal

Where a dispute falls within the jurisdiction of the Small Claims Tribunal (SCT) under Singapore law, either party may refer the matter to the SCT without first undergoing mediation, if they prefer.

11.5 Court proceedings

If mediation is unsuccessful or declined, either party may commence proceedings in the courts of Singapore, which shall have exclusive jurisdiction over any unresolved dispute.

12. Personal data protection

12.1 Collection and use of personal data

When you make a booking, you provide us with personal data such as your name, contact details, and payment information. We collect and use this data solely for the purposes of processing and managing your booking, communicating with you regarding your use of the venue, and complying with our legal and regulatory obligations.

12.2 Compliance with PDPA

We handle all personal data in accordance with the Personal Data Protection Act 2012 (PDPA) of Singapore. We will not sell, rent or disclose your personal data to third parties except where required by law, or where necessary to administer your booking (for example, sharing details with building management for access purposes).

12.3 Retention and access

We retain personal data only for as long as is necessary for the purposes for which it was collected, or as required by applicable law. You may request access to, correction of, or withdrawal of consent for the use of your personal data by contacting us in writing. We will respond to such requests within the timeframes required under the PDPA.

12.4 Privacy policy

Our Privacy Policy is available upon request and will be provided to you prior to or at the time of booking. By confirming a booking, you acknowledge that you have been given the opportunity to read the Privacy Policy and consent to the collection, use, and retention of your personal data as described in it.
